For rest of the Sections- As prescribed in the Act.

These regulations shall apply to:

(a) an initial public offer of specified securities by an unlisted entity;

(b) a follow-on public offer of specified securities by a Listed Entity;

(c) an initial public offer of specified securities by a Special Purpose Acquisition Company;

(d) a rights issue or a preferential issue or a qualified institutions placement of specified securities by a Listed Entity;

(e) issuance and listing of depository receipts by an entity;

(f) issue and listing of debt securities by an entity;

(g) secondary listing of securities by an entity;

(h) listing of Commercial Paper or Certificates of Deposit or other financial products as permitted by the Authority.

(a) they do not produce or provide similar or identical or substitutable product or service;

(b) they are not engaged in any activity relating to production, supply, distribution, storage, sale and service or trade in product or provision of service, –

(i) which are at different stage or level of production; or

(ii) which are complementary to each other.

(a) the value of assets shall be rupees four hundred and fifty crore; and

(b) the value of turnover shall be rupees one thousand two hundred and fifty crore.

including but not limited to the consideration, —

(a) for any covenant, undertaking, obligations or restrictions imposed on seller or any other person, if such consideration is agreed separately;

(b) for all inter-connected steps and transactions, as provided in sub-regulation (4) and (5) of regulation 9 of these regulations;

(c) payable during two years from the date on which the transaction would come into effect for arrangement(s) entered into as a part of the transaction or incidental thereto including but not limited to technology assistance, licensing of intellectual property rights, usage rights

of any product, service or facility, supply of raw materials or finished goods, branding and marketing;

(d) for call option and shares to be acquired thereof assuming full exercise of such option;

(e) payable, as per best estimates, based on the future outcome specified under the transaction documents.

(Upholstered Composites used for Non-Domestic Furniture) Order, 2024

(a) goods or articles specified in column (2) of the Schedule annexed to this Order, but shall not apply to

such goods or article meant for export;

(b) upholstered composites or fabric traded as raw material or rolls or used in assembly of non-domestic

furniture:

Provided that the industry dealing with the assembly of non – domestic furniture (manufacturing or importing), wherein upholstered fabric is used as part of the finished furniture product shall be exempted from this Quality Control Order till 31st March 2025.

(2) Any public entity shall exercise the powers under these rules upon an application made by any facility provider seeking the right of way for telecommunication network.

(3) All applications, notifications, clarifications, permissions, objections or rejections under these rules, shall be made through the portal to the extent specified under these rules.

Operation of Electric Vehicle Charging Infrastructure-2024

(i) Manufacturers, Owners and Operators of EV Charging Infrastructure located

a) In private parking spaces,

b) In semi restricted places like office buildings, educational institutions,

hospitals, Group Housing Societies, e-bus depots and

c) In public places like commercial complexes, railway stations, petrol pumps, airports, metro stations, shopping arcades, municipal parking and

d) On highways & expressways.

(ii) Power utilities and Central and State agencies.

voltage not exceeding 250V single phase alternating current or 415V three phase alternating current and which do not fall under the scope of any other Quality Control Order issued under the Bureau of Indian Standards Act.
